5 Legal Documents Every Small Business in Chennai Should Have
Most legal problems small businesses run into weren't inevitable — they usually trace back to a document that was never signed, or a clause that was assumed rather than written down. Here are five worth having in place before they're needed.
1. A proper vendor or client contract
Verbal agreements and WhatsApp confirmations aren't enforceable in the way a signed contract is. A basic contract template covering scope, payment terms, and what happens if either side doesn't deliver prevents most disputes from escalating.
2. A partnership or founders' agreement
If there's more than one person involved in the business, a written agreement on ownership share, decision-making, and what happens if someone wants to exit avoids some of the most damaging disputes — the ones between people who used to trust each other completely.
3. Employment letters and NDAs
A clear appointment letter and, where relevant, a non-disclosure agreement protect the business if an employee leaves on bad terms or takes sensitive information with them.
4. A legal notice template, and knowing when to send one
A properly drafted legal notice is often the step that resolves a dispute before it needs to go to court at all — it signals seriousness and puts the other party on the record.
5. Compliance basics for your business type
Depending on the nature of the business, this might mean GST registration, shop and establishment licensing, or sector-specific compliance. Missing these doesn't just risk penalties — it can undermine your position if a dispute ever ends up before a court or commission.
None of these require a large upfront legal budget — a short advisory session to get the essentials in place is usually enough, and it's considerably cheaper than resolving a dispute that a document would have prevented.
